Acknowledgment and Acceptance of Terms and Conditions
|
These Terms and Conditions of Use appearing hereafter comprise the entire agreement between you and JobsCentral and govern your use of the online exhibitor manual iEvents software and service, which is operated by JobsCentral Pte Ltd ("JobsCentral"). Additional terms and conditions of use may apply to specific areas of iEvents, and will be shown where appropriate. These Terms and Conditions supersede all prior agreements between the parties regarding the subject matter contained herein. By logging into this site you implicitly agree to accept and be bound by these Terms and Conditions of Use, as set out below.
JobsCentral reserves the right, at its discretion, to change or modify all or any part of these Terms and Conditions at any time, effective immediately upon publication in this system. Your continued use of iEvents constitutes your binding acceptance of these Terms and Conditions, including any changes or modifications made by JobsCentral as permitted above. If at any time these Terms and Conditions are no longer acceptable to you, you should immediately cease using iEvents, and concurrently notify JobsCentral of such fact and the reasons therefore.

Data Protection and Security
|
The iEvents software has been designed in full compliance with all applicable data protection and system security legislation and industry practices. However, JobsCentral cannot guarantee that the system will be free of illegal or otherwise unauthorised access by third parties and JobsCentral will not be liable for the consequences of any such access.
The placement of an order by any user of the software for any goods and/or services will constitute consent for the receipt and processing of all information in respect of such order including credit or debit card details, the accuracy of which shall be the sole responsibility of the user.
You shall take all such measures as may be necessary (including without limitation changing his password from time to time) to protect the secrecy of your user ID and/or password and shall not reveal the same to any other person(s). Where a user ID is necessary to access the service, you shall use only your own user ID.
JobsCentral reserves the right to change or re-assign the login information, user ID, password or any code assigned by JobsCentral to the user at its sole discretion without being liable to you in damages or otherwise.
In the event of theft or loss of user ID, password or security word, you must notify JobsCentral immediately by telephone / email and concurrently provide JobsCentral with a written notice to that effect. You shall remain liable for use of the Services by any third party until such theft or loss is notified to JobsCentral.

Use of Content
|
You acknowledge that iEvents and its databases contain information, data, software, photographs, graphics and other material ("Content") that are protected by copyright, trademark or other proprietary rights of JobsCentral or third parties. All Content provided in iEvents is copyrighted as a collective work of JobsCentral and protected by applicable copyright laws. You agree to comply with such laws and any additional copyright notices, information, or restrictions contained in any Content provided or accessed through the iEvents software.
You may not modify, transmit, transfer, reproduce, distribute, display, in any way exploit or create derivative works from any of the Content, in whole or in part, except as expressly permitted in these Terms and Conditions. Content consisting of downloadable software, including code executable within your browser, may not be disassembled or reverse engineered unless specifically authorised by JobsCentral or, if applicable, the owner of the software's patent and/or copyright, as the case may be.
You may download or copy the Content only for your own use in connection with your own business in connection with iEvents, provided that you maintain all copyright and other notices contained in such Content. You will not store electronically any significant portion of any Content. Except as expressly permitted by copyright laws, no copying, storage, redistribution or publication of any Content is permitted without the express permission of JobsCentral or the owners of such Content or their authorised agents, if other than JobsCentral. You may download from iEvents any Content in the public domain for your own personal use or for non-commercial redistribution.

Rules of Conduct
|
You may not post in iEvents any Content which (a) is libellous, defamatory, obscene, pornographic, abusive, harassing or threatening, (b) contains viruses or other contaminating or destructive features, (c) violates the property rights of others, such as Content which infringes any copyright, trademark, patent, trade secret or violates any right of privacy or publicity, or (d) otherwise violates any applicable law. You shall use iEvents only for the purpose for which is subscribed and may not post in iEvents any links to any external Internet sites that fall within any of the Content categories listed in subparagraphs (a) through (d) above.

Managing Content
|
JobsCentral does not and cannot review all of the Content posted by users to iEvents and is not responsible for such Content. However, JobsCentral reserves the right to delete, move or edit any Content that it may determine, at its sole discretion, violates these Terms and Conditions or is otherwise unacceptable. You will remain solely responsible for all Content posted by you. JobsCentral shall have the right, but not the obligation, to correct any errors or omissions in any Content, as it may determine at its sole discretion.
JobsCentral does not represent or endorse the accuracy or reliability of any Content posted in iEvents and you acknowledge that any reliance upon such Content shall be at your sole risk. Any Content posted in iEvents by third parties are the views of the parties posting the statements, and do not represent the views of JobsCentral.
iEvents may contain links to sites on the Internet which are owned and operated by third parties ("External Sites"). You acknowledge that JobsCentral is not responsible for the availability of, or the content located on or through, any External Site. You should contact the site administrator or Webmaster for those External Sites if you have any concerns regarding such links or the content located on them.

Confidentiality
|
Both parties hereby agree not to divulge nor communicate to any person (other than those whose province it is to know the same) nor use or exploit for any purpose whatsoever (other than that contemplated in this Terms and Conditions) any confidential information which may or may have come to his knowledge by reason of or in connection with this Terms and Conditions, and hereby further agrees that they shall use all reasonable efforts to prevent their employees, officers, agents and consultants from so acting, except where the prior written consent of the other party is obtained or where required to be disclosed pursuant to any applicable law or legal process issued by any court or the rules of any relevant regulatory body.
JobsCentral maintains a policy of strict confidentiality of all data and information submitted by you. JobsCentral shall not release such data and information to any irrelevant persons without your prior consent.

Indemnity
|
You agree to indemnify, defend and hold JobsCentral and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, "JobsCentral Parties") harmless from and against any and all actions, proceedings, costs, claims, expenses (including lawyers' fees), demands, liabilities, losses and damages whatsoever including without limitation for defamation, infringement of intellectual property rights, death, bodily injury, property damage or pecuniary losses howsoever arising which may incurred by any JobsCentral Party arising out of or in connection with any use or alleged use of iEvents under your password by any person, whether or not authorised by you. JobsCentral reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with JobsCentral in respect of its defence of such claim.

Maintenance of Service
|
JobsCentral may at any time deactivate or suspend your access to iEvents without notice to carry out system maintenance, upgrading, testing, repairs and other related work. Without prejudice to the other provisions of this Agreement, JobsCentral shall not be liable for any loss and damage, costs and expense that you may suffer or incur, and no fees or charges payable by you to JobsCentral shall be deducted, refunded or rebated, as a result of such deactivation or suspension.

Termination of Service
|
JobsCentral reserves the right, in its sole discretion, to restrict, suspend or terminate your access to all or any part of iEvents at any time for any reason without prior notice or liability. JobsCentral may change, suspend or discontinue all or any aspect of iEvents at any time, including the availability of any feature, database, or Content, without prior notice or liability, except as provided in JobsCentral's contracts with its clients and suppliers.

Disclaimer of Warranties and Limitation of Liability
|
Neither JobsCentral nor any provider of third party content or their respective agents warrants that the service provided by this site will be uninterrupted or error free; Nor does JobsCentral, any third party content provider, or their respective agents make any warranty as to the results to be obtained from use of iEvents or the Content. iEvents and the Content are distributed on an "as is, as available" basis. None of JobsCentral, third party content providers and their respective agents makes any warranties of any kind, either express or implied, including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose, with respect to iEvents, any content or any products or services sold through this service. Neither JobsCentral nor any third party content provider warrants that any files available for downloading through the service will be free of viruses or similar contamination or destructive features. You expressly agree that the entire risk as to the quality and performance of the service and the accuracy or completeness of the Content is assumed solely by you.
Neither JobsCentral, any third party content provider nor their respective agents shall be liable for any direct, indirect, incidental, special or consequential damages arising out of the use of or inability to use iEvents, even if such party has been advised of the possibility of such damages.
Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such jurisdictions, the liability of JobsCentral, third party content providers and their respective agents shall be limited to the greatest extent permitted by the law.

Miscellaneous
|
These Terms and Conditions shall be construed in accordance with the laws of the Republic of Singapore, and the parties irrevocably consent to the jurisdiction of the Singapore courts in respect of the enforcement of these Terms and Conditions. These Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. If any inconsistency exists between these Terms and Conditions and any additional terms and conditions posted in this site, such terms shall be interpreted as to eliminate any inconsistency, if possible, and otherwise, the additional terms and conditions shall take precedence.
Any and all commercial arrangements made or entered into by you in respect of iEvents shall be between you and the applicable exhibition organiser, contractor, supplier, vendor or other third party, as the case may be, and JobsCentral shall not have any liability, contractual or otherwise, relating thereto.
